1. About the Platform

ToolLoop ("we," "us," or "our") operates a peer-to-peer marketplace that connects individuals who wish to rent tools and equipment ("Owners") with individuals seeking to rent them ("Renters"). We do not own, inspect, or guarantee the condition of any tools listed on the Platform.

2. Eligibility

To use the Platform, you must:

• Be at least 18 years of age
• Have a valid government-issued ID (required for identity verification)
• Have a verified email address
• Agree to all policies herein
• Have legal authority to enter into a binding agreement

3. Account Registration & Verification

You must provide accurate, current, and complete information when registering. You are responsible for maintaining the confidentiality of your login credentials. We require identity verification via government-issued ID before you may list tools or complete a rental transaction. Failure to complete verification may limit your access to Platform features.

You agree not to create duplicate accounts or use another person's account. We reserve the right to suspend or terminate any account found to be fraudulent or in violation of these Terms.

4. Listings

Owners are solely responsible for the accuracy of their listings. Listings must include accurate descriptions, photos, pricing, availability, and condition disclosures. We reserve the right to remove any listing that violates our Prohibited Items Policy or these Terms without notice.

5. Rental Transactions

All rental agreements are formed directly between Owner and Renter. ToolLoop is not a party to the rental agreement and is not responsible for any disputes arising from individual transactions. Each rental is subject to our Rental Policy, which forms part of these Terms.

6. Payments

All payments are processed securely through Stripe. Owners receive payouts approximately 3 business days after a rental period is confirmed complete. We use a hybrid fee model disclosed at checkout: Renters pay 4% on the rental subtotal plus a $2.00 booking fee per reservation; Owners pay 8% on the rental subtotal (deducted from payout), plus applicable delivery fees. All platform fees are non-refundable except as described in our Cancellation & Refund Policy.

7. Damage & Liability

Renters are financially responsible for any damage to, loss of, or theft of rented tools during the rental period. Owners must disclose any pre-existing damage before listing. We strongly recommend both parties photograph tools before and after each rental. ToolLoop is not liable for any damage or loss arising from rental transactions.

8. Prohibited Conduct

Users may not:

• Misrepresent identity or provide false information
• Circumvent the Platform to transact directly and avoid fees
• Use the Platform for illegal purposes
• Harass, threaten, or discriminate against other users
• Post fraudulent listings or reviews
• Use automated bots or scrapers on the Platform

9. Intellectual Property

All content, branding, and technology on the Platform is owned by ToolLoop or its licensors. You may not reproduce, distribute, or create derivative works without express written permission.

10. Disclaimer of Warranties

The Platform is provided "as is" without warranties of any kind. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. We make no representations regarding the quality, safety, or legality of listed tools.

11. Limitation of Liability

To the maximum extent permitted by law, ToolLoop shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Platform. Our total liability to you shall not exceed the greater of (a) $100 or (b) the total fees you paid to us in the three months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless ToolLoop and its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles. Any disputes shall first be addressed through good-faith negotiation. Unresolved disputes shall be submitted to binding arbitration in Denver, Colorado under the rules of the American Arbitration Association. You waive any right to a jury trial or class action proceeding.

14. Changes to These Terms

We may update these Terms at any time. We will notify you by email or in-app notification at least 14 days before material changes take effect. Continued use of the Platform after changes constitutes your acceptance.
